"Agent" means any person who has entered into a written agency agreement with Provenant Life or who has been contracted as a result of an introduction by Provenant Life. ARTICLE III — PURPOSES AND LEGAL BASIS FOR PROCESSING. 3.01 Primary Purposes. Provenant Life processes your Personal Information for the following primary purposes: (a) To receive, review, and evaluate your application for participation as an agent in the Provenant Life agency; (b) To communicate with you regarding your application status, scheduling, and next steps in the onboarding process; (c) To conduct background verification, license verification, and regulatory history review as part of the contracting and appointment process; (d) To facilitate your contracting and appointment with Carrier Partners; (e) To provision your access to the our CRM, training platform, lead systems, and other tools made available to contracted agents; (f) To provide you with training materials, scripts, product information, carrier updates, and other operational resources; (g) To administer the lead programs available to contracted agents, including tracking lead orders, costs, and credits; (h) To calculate, process, and pay commissions and bonuses in accordance with your agency agreement; (i) To maintain records required by applicable insurance regulations, including state insurance department requirements for agent records; (j) To respond to your inquiries, questions, and requests; (k) To verify your ongoing compliance with licensing, E&O, and continuing education requirements; and (l) To contact you regarding changes to our programs, carriers, compensation, or policies. 3.02 Secondary Purposes. Provenant Life may also process your Personal Information for the following secondary purposes: (a) To improve our recruiting processes, onboarding materials, training programs, and agency operations; (b) To analyze production data and trends for business planning purposes; (c) To comply with applicable laws, regulations, and legal processes; (d) To investigate and respond to complaints, disputes, or regulatory inquiries; (e) To protect the rights, property, and safety of Provenant Life, Carrier Partners, clients, and the public; and (f) To enforce our agency agreements and other contractual obligations.
ARTICLE IV — DISCLOSURE OF PERSONAL INFORMATION. 4.01 Disclosure for Operations. Provenant Life shares your Personal Information internally and with service providers as necessary to facilitate your contracting with Carrier Partners, provision platform access, conduct compliance reviews, and support agency operations. 4.02 Disclosure to Carrier Partners. If your application proceeds to the contracting stage, Provenant Life will share your Personal Information with Carrier Partners as required for licensing, appointment, and compliance purposes. Each Carrier Partner has its own background check, licensing verification, and appointment procedures, and receipt of your information does not guarantee appointment. Carrier Partners are independently responsible for their own privacy practices with respect to information they receive. 4.03 Disclosure to Background Check and Verification Providers. Provenant Life uses third-party background check providers and verification services to conduct the checks described in Section 2.03. These providers are authorized to use your Personal Information solely for the purpose of conducting the requested checks and are prohibited from using it for any other purpose. If background checks are conducted pursuant to the FCRA, you will receive separate notice and authorization forms as required by law. 4.04 Disclosure to Service Providers. Provenant Life may share your Personal Information with third-party service providers who assist us in operating our Website, delivering communications, processing payments, managing our CRM and technology infrastructure, and performing other business functions. We retain this information to maintain accurate historical records, comply with regulatory requirements, and avoid duplicate applications or solicitations. 5.03 Agent Records. Personal Information relating to contracted Agents will be retained for a minimum of seven (7) years following the termination of the agency relationship, or such longer period as may be required by applicable state insurance department regulations governing the retention of agent records. Certain records, including contracting documentation, appointment records, and commission histories, may be retained for longer periods as required by specific carrier or regulatory requirements. 5.04 Background Check Records. Background check results and related documentation are retained in accordance with applicable FCRA requirements and state law, typically for a minimum of seven (7) years. 5.05 Secure Destruction. "Company" means Provenant Life and its principals and managing agents. "Carrier Partners" means the licensed insurance carriers available for agent appointment, as described in these Terms and in separate carrier contracting materials. "Applicant" means any person who submits an application, inquiry, or other information through this Website or any associated channel. "Agent" means any person who has entered into a written agency agreement with Provenant Life and/or been contracted. "Lead Programs" means the paid lead and leads-at-cost programs described on this Website and in greater detail in separate program materials. "Independent Contractor" has the meaning ascribed to it in Article IV. 1.05 Interpretation. Headings are for convenience only and shall not affect the interpretation of these Terms. The use of "including" means including without limitation.
ARTICLE II — DESCRIPTION OF WEBSITE AND SERVICES. 2.01 Nature of Website. This Website is operated by Provenant Life for the purpose of informing prospective insurance agents about the opportunity to join Provenant Life as independent contractors, providing information about our lead programs, training systems, carrier access, and compensation structure, and facilitating the initial stages of the application and onboarding process. The Website is not intended to constitute an offer of employment or a guarantee of any particular income or business outcome. 2.02 Not Legal Advice. Nothing on this Website constitutes legal, tax, financial, compliance, or regulatory advice. All information provided on this Website regarding insurance licensing, carrier contracting, regulatory compliance, and compensation is for general informational purposes only. You are solely responsible for understanding and complying with all applicable insurance laws and regulations in your state(s) of licensure. ARTICLE IV — INDEPENDENT CONTRACTOR RELATIONSHIP. 4.01 Nature of Relationship. All agents who participate with Provenant Life do so as independent contractors, not as employees, partners, joint venturers, or agents of Provenant Life for any purpose other than as expressly set forth in the applicable agency agreement. Nothing in these Terms of Use, in any communication from Provenant Life, or on this Website creates or is intended to create an employer-employee relationship, a partnership, a joint venture, or any other business relationship between you and Provenant Life. 4.02 Independent Contractor Obligations. As an independent contractor, you are solely responsible for: (a) Obtaining, maintaining, and renewing all required insurance licenses in all states in which you conduct insurance activities, including payment of all associated fees; (b) Maintaining active Errors and Omissions (E&O) insurance coverage at levels required by your agency agreement and applicable carrier requirements; (c) Paying all applicable federal, state, and local taxes on income earned through your agency activities, including self-employment taxes; (d) Complying with all applicable state and federal insurance laws and regulations, including laws governing marketing, advertising, disclosure, suitability, and consumer protection; (e) Maintaining the confidentiality of client information in accordance with applicable privacy laws and insurance regulations; (f) Managing your own business expenses, including the costs of leads under the leads-at-cost program; and (g) Complying with all carrier requirements, guidelines, and contractual obligations applicable to your appointments. 4.03 No Exclusivity. Unless otherwise specified in a written agency agreement signed by both parties, your participation with Provenant Life does not preclude you from maintaining other insurance licenses or agency relationships, provided such relationships do not involve the use of Provenant Life or Provenant Life proprietary materials, client information, or carrier relationships in an unauthorized manner. 4.04 Book of Business Ownership. Subject to applicable carrier contracts, state regulations, and your agency agreement, agents retain ownership of the book of business they develop through properly contracted carriers. Provenant Life does not assert ownership over policies written by agents through their independently contracted carrier appointments, subject to any limitations or conditions set forth in the applicable agency agreement. Nothing in these Terms modifies or supersedes any provision of a signed agency agreement.
ARTICLE V — LEAD PROGRAMS. 5.01 General Description. Provenant Life offers two lead programs to contracted agents: (a) a paid lead program available to agents working the estate planning market, under which Provenant Life covers the cost of leads upfront as described in program materials; and (b) a leads-at-cost program available to agents working other markets, under which agents pay the actual cost of leads without markup. 5.02 Program Terms Subject to Change. The specific terms of the Lead Programs, including lead costs, geographic availability, lead types, exclusivity, sharing arrangements, and quality standards, are described in separate program materials provided during the onboarding process and are subject to change at any time without prior notice. Information about Lead Programs on this Website is for general informational purposes only and does not constitute a binding commitment regarding specific lead terms, availability, or quality. 5.03 No Guarantee of Lead Quality or Conversion. Provenant Life make no representations or warranties regarding the quality, accuracy, exclusivity, or convertibility of any leads provided through the Lead Programs. Actual conversion rates depend on numerous factors outside our control, including market conditions, consumer interest, your sales skills, carrier product availability, and underwriting outcomes. Past conversion rates achieved by other agents do not predict your results. 5.04 Lead Costs and Payment. All lead costs under the leads-at-cost program are the sole responsibility of the agent. Failure to pay for ordered leads in a timely manner may result in suspension of Lead Program access and other remedies available under the agency agreement. 5.05 Disputes Regarding Leads. Any disputes regarding lead quality, billing, or program terms must be raised in writing within the timeframe specified in the applicable Lead Program materials. Failure to raise a dispute within the applicable timeframe shall constitute acceptance of the lead and any associated charges.
ARTICLE VI — TRAINING AND ONBOARDING PROGRAM. 6.01 Description of Training Program. Provenant Life offers a structured onboarding training program designed to prepare newly contracted agents for active production. The training program includes carrier training, product knowledge, call and script training, application submission procedures, and ongoing weekly training sessions with active producers. 6.02 No Guarantee of Training Outcomes. Participation in the training program does not guarantee that you will become a successful producing agent or that you will achieve any particular production level or income. The effectiveness of training depends on numerous factors, including your prior experience, aptitude, effort, and commitment. 6.03 Intellectual Property of Training Materials. All training materials, scripts, call guides, product presentations, CRM configurations, and other materials provided to agents through the Provenant Life onboarding program and our platform are the proprietary intellectual property of Provenant Life. These materials are licensed to you solely for use in connection with your authorized insurance activities as a contracted agent. You may not share, reproduce, distribute, sell, or transfer these materials to any person or entity without express written permission from Provenant Life. Upon termination of your agency relationship, you must promptly cease all use of and, upon request, return or destroy all proprietary materials. 6.04 Platform Access. Access to the our CRM, training platform, and other technology tools is subject to the terms and conditions of applicable carrier platforms. Provenant Life makes no representations regarding the availability, functionality, or security of third-party platforms. Access may be suspended or revoked at any time in accordance with the applicable platform terms or your agency agreement.
ARTICLE VII — EARNINGS REPRESENTATIONS AND INCOME DISCLOSURES. 7.01 Nature of Earnings Information. This Website may include references to income potential, production ranges, and examples of earnings achieved by agents in the Provenant Life network. All such information is provided for illustrative purposes only and does not constitute a guarantee of any particular income level or business outcome. 7.02 Individual Results Vary Significantly. Actual earnings as a licensed insurance agent depend on a wide range of factors entirely outside the control of Provenant Life, including without limitation: (a) Your prior sales experience and skills; (b) The number of hours you devote to your insurance activities; (c) Your ability to convert leads into applications and issued policies; (d) The geographic market in which you operate; (e) Market conditions and consumer demand for insurance products; (f) Carrier underwriting standards and approval rates; (g) Policy persistency and chargeback rates; (h) Your ability to maintain active licensure and carrier appointments; (i) Your ability to build and maintain a personal client base; (j) Economic conditions generally; and (k) Your personal financial management and business operations. 7.03 No Guarantee of Income. There is no guarantee of income as an insurance agent. The life insurance industry involves real business risk, including the possibility of earning little or no income. Provenant Life make no representations that any agent will achieve any particular level of production or income. Past results of other agents do not predict your future results. You should conduct your own due diligence and consult independent financial and business advisors before making a decision to enter the insurance industry or join any agency. 7.04 FTC and State Disclosure Compliance. Provenant Life is committed to compliance with Federal Trade Commission guidelines regarding income and earnings representations and with applicable state insurance department regulations regarding agent recruiting disclosures. Nothing in these Terms limits your right to receive accurate income disclosure information upon request.
ARTICLE VIII — INTELLECTUAL PROPERTY. 8.01 Ownership. All content on this Website, including without limitation text, graphics, logos, images, photographs, audio clips, video clips, data compilations, and software, is the property of Provenant Life, or their respective content providers and is protected by applicable United States and international copyright, trademark, trade secret, and other intellectual property laws. 8.02 Limited License. Provenant Life grants you a limited, non-exclusive, non-transferable license to access and view the content on this Website for your personal, non-commercial use in connection with evaluating the Provenant Life agent opportunity. No other license is granted, expressed or implied. 8.03 Restrictions. Provenant Life reserves the right to assume exclusive control and direction of the defense of any matter subject to indemnification by you. You agree to cooperate fully with Provenant Life in such defense and to not settle any such claim without the prior written consent of Provenant Life.
ARTICLE XII — GOVERNING LAW, DISPUTE RESOLUTION, AND ARBITRATION. 12.01 Governing Law. These Terms of Use and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the state in which Provenant Life is principally operated, without regard to its conflict of law provisions, except to the extent that federal law applies. 12.02 Informal Resolution. Before initiating any formal dispute resolution process, you agree to contact Provenant Life in writing through the Website contact form and to engage in good-faith efforts to resolve the dispute informally for a period of not less than sixty (60) calendar days from the date of your written notice. 12.03 Binding Arbitration. Subject to Section 12.04, any dispute, claim, or controversy arising out of or relating to these Terms of Use, your use of this Website, or your participation as an agent that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules then in effect. The arbitration shall take place in the state in which Provenant Life is principally operated, unless the parties mutually agree to a different location or to conduct the arbitration by video conference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. 12.04 Class Action Waiver. YOU AND PROVENANT LIFE EACH WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION PROCEEDING IN CONNECTION WITH ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OF USE. ALL DISPUTES MUST BE BROUGHT IN THE RESPECTIVE PARTY'S INDIVIDUAL CAPACITY AND NOT AS A CLASS MEMBER OR PLAINTIFF IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. 12.05 Exceptions to Arbitration. Notwithstanding Section 12.03, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened misappropriation of intellectual property, breach of confidentiality obligations, or other irreparable harm. 12.06 Limitation Period. Provenant Life provides general compliance guidance through training and program materials, but you are solely responsible for understanding and complying with the specific regulatory requirements applicable to your license, your market, and your activities. 13.02 TCPA Compliance. To the extent that your activities as an agent involve telephone marketing, text messaging, or other electronic communications with consumers, you are solely responsible for complying with the Telephone Consumer Protection Act ("TCPA"), 47 U.S.C. § 227, and all implementing regulations, including requirements regarding prior express written consent, National Do Not Call Registry compliance, and restrictions on automated dialing equipment and pre-recorded messages. Provenant Life provides leads and contact information for insurance marketing purposes but makes no representations regarding the TCPA compliance status of specific leads. You must conduct your own TCPA due diligence before contacting any lead. 13.03 Anti-Money Laundering. To the extent applicable, agents are responsible for complying with all applicable anti-money laundering laws and regulations and must complete required AML training as prescribed by their Carrier Partners. 13.04 FINRA and Securities Regulations. If you hold any FINRA registrations or securities licenses, you are solely responsible for maintaining compliance with all applicable FINRA rules and SEC regulations. Provenant Life does not supervise or take responsibility for securities activities.
ARTICLE XIV — TERMINATION AND SUSPENSION. 14.01 Termination by Provenant Life. Provenant Life reserves the right to terminate or suspend your access to this Website, your application process, or your agency relationship at any time and for any reason or no reason, with or without notice and with or without cause, including without limitation if Provenant Life determines in its sole discretion that you have violated these Terms of Use, your agency agreement, applicable law, or any carrier requirement. 14.02 Termination by You. You may terminate your agency relationship with Provenant Life at any time upon written notice to Provenant Life, subject to the terms and conditions of your agency agreement. Termination of your agency relationship does not release you from any obligations that accrued prior to termination or that survive termination by their nature, including obligations regarding intellectual property, confidentiality, non-solicitation, and indemnification. 14.03 Effect of Termination. Upon termination of your agency relationship for any reason: (a) All licenses granted to you under these Terms and your agency agreement terminate immediately; (b) You must promptly cease all use of Provenant Life proprietary materials and return or destroy all such materials upon request; (c) Access to our platform and all associated tools will be revoked; and (d) Any outstanding commission obligations shall be addressed in accordance with your agency agreement and applicable carrier contracts. 14.04 Survival. The following provisions shall survive the termination or expiration of these Terms of Use for any reason: Articles I, VIII, IX, X, XI, XII, and XIV, and any other provisions that by their nature should survive.
ARTICLE XV — MISCELLANEOUS PROVISIONS. 15.01 Severability. If any provision of these Terms of Use is found to be unlawful, void, or unenforceable for any reason, that provision will be deemed severable from these Terms and will not affect the validity and enforceability of any remaining provisions. 15.02 Waiver. No failure or delay by Provenant Life in exercising any right or remedy under these Terms shall constitute a waiver of such right or remedy. No single or partial exercise of any right or remedy shall preclude any other or further exercise thereof or the exercise of any other right or remedy. 15.03 Assignment. You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of Provenant Life. Provenant Life may assign these Terms and any rights or obligations hereunder without restriction. 15.04 Notices. All notices from you to Provenant Life must be submitted through the Website contact form. Notices from Provenant Life to you may be provided by email to the address on file, by posting to this Website, or by other means permitted under applicable law. 15.05 Force Majeure. Provenant Life shall not be liable for any failure or delay in performance arising from causes beyond its reasonable control, including acts of God, natural disasters, government actions, telecommunications failures, or other events beyond our reasonable control. 15.06 No Third-Party Beneficiaries. These Terms of Use are for the sole benefit of Provenant Life and you. Nothing in these Terms, express or implied, is intended to or shall confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature whatsoever. 15.07 Headings.
